RURAL HEALTH HUB MEMBERSHIP TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS By registering for and using your Rural Health Hub membership, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Rural Health Hub platform or services.
2. MEMBERSHIP ELIGIBILITY Membership in the Rural Health Hub is available only to individuals and organizations associated with rural medicine. We reserve the right to verify your eligibility and to refuse or terminate membership to anyone who does not meet these requirements.
3. MEMBERSHIP BENEFITS Your free membership provides you access to the Rural Health Hub platform where you may view, browse, and purchase various programs, services, training courses, consulting services, software tools, telehealth services, provider groups, and new technology offerings. Membership does not include automatic access to paid programs or services, which must be purchased separately.
4. USER DATA AND PRIVACY
4.1 Data Collection: By registering, you agree to provide accurate and complete information. We collect personal and professional information including but not limited to your name, contact information, practice location, and professional credentials.
4.2 Data Use: You acknowledge and agree that we may use your data for the following purposes: • Marketing and advertising our services to you • Promoting and selling membership and services to other organizations and groups • Improving our platform and services • Communicating with you about programs, services, and opportunities
4.3 Third-Party Sharing: You agree that we may share your information with third parties for business development, marketing, and partnership purposes.
4.4 Privacy Policy: Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Ownership: All content, materials, programs, courses, resources, trademarks, logos, and other intellectual property available on the Rural Health Hub platform are owned by or licensed to Rural Health Hub and are protected by copyright, trademark, and other intellectual property laws.
5.2 Restrictions: You may not: • Copy, reproduce, distribute, or create derivative works from any content on the platform • Resell, redistribute, or commercially exploit any materials or programs • Remove or alter any copyright, trademark, or proprietary notices • Use our intellectual property for any purpose other than your personal, non-commercial use as a member
5.3 License: We grant you a limited, non-exclusive, non-transferable license to access and use the platform and any purchased programs solely for your personal or internal business purposes.
6. ACCOUNT RESPONSIBILITIES
6.1 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
6.2 You agree to notify us immediately of any unauthorized use of your account.
6.3 You agree to use the platform only for lawful purposes and in accordance with these Terms.
7. PROHIBITED CONDUCT You may not: • Provide false or misleading information during registration • Use the platform in any way that violates applicable laws or regulations • Engage in fraudulent activity or misuse of the platform • Attempt to gain unauthorized access to any portion of the platform • Interfere with or disrupt the platform's operation • Harass, abuse, or harm other members or users • Use the platform to distribute spam, malware, or other harmful content
8. ACCOUNT TERMINATION AND SUSPENSION
8.1 We reserve the right to suspend or terminate your membership and access to the platform at any time, with or without notice, for any reason, including but not limited to: • Violation of these Terms • Fraudulent activity • Misuse of the platform • Providing false information • At our sole discretion
8.2 You may terminate your membership at any time by contacting us or through your account settings.
8.3 Upon termination, your right to access the platform and any purchased programs may be revoked, and we are not obligated to provide refunds for any fees paid.
9. DISCLAIMERS AND LIMITATIONS OF LIABILITY
9.1 NO WARRANTIES: THE RURAL HEALTH HUB PLATFORM AND ALL CONTENT, PROGRAMS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 NO MEDICAL ADVICE: The Rural Health Hub does not provide medical advice. Content and programs available through the platform are for informational and educational purposes only and should not be considered medical advice or a substitute for professional medical judgment.
9.3 THIRD-PARTY CONTENT: We do not guarantee the accuracy, completeness, or reliability of any third-party content, programs, or services available through the platform. You use such content at your own risk.
9.4 TECHNICAL ISSUES: We do not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components.
9.5 LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, RURAL HEALTH HUB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE been ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.6 MEDICAL OUTCOMES: We are not responsible for any medical outcomes, decisions, or consequences resulting from the use of programs, services, or information obtained through the platform.
9.7 MAXIMUM LIABILITY: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
10. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Rural Health Hub, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: • Your use of the platform • Your violation of these Terms • Your violation of any rights of another party • Any content you submit or transmit through the platform
11. MODIFICATIONS TO TERMS We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the platform after changes are posted constitutes your acceptance of the modified Terms.
12. MODIFICATIONS TO SERVICES We reserve the right to modify, suspend, or discontinue any aspect of the platform or any programs or services at any time without notice or liability.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
13.2 Any disputes arising out of or related to these Terms or your use of the platform shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
14. ENTIRE AGREEMENT These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rural Health Hub regarding your membership and use of the platform.
15. SEVERABILITY If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. WAIVER Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
